1. General Terms (Applies to All Licenses)

1.1 Ownership

All beats remain the sole property of D-Wit. Purchasing a license grants usage rights only. The Licensee does not own the instrumental unless an Exclusive Rights agreement explicitly states otherwise.

1.2 Credit Requirement

All uses of the beat must include the credit:
“Prod. by D-Wit”

1.3 Restrictions (All Licenses)

The Licensee may not:

• Claim ownership of the beat’s production
• Resell, redistribute, or lease the beat to any third party
• Upload the instrumental alone to Content ID or digital distributors
• Register the beat in any publishing or fingerprinting system

1.4 Delivery

Depending on the license purchased, the Licensee will receive an MP3, WAV, and/or trackout stems via digital download.

1.5 Legal Jurisdiction

All agreements are governed under the laws of the Producer’s state of residence.

2. MP3 Lease License

2.1 Rights Granted

A non-exclusive license is granted to use the MP3 version of the beat for independent commercial or non-commercial purposes.

2.2 Distribution Limits

• Up to 50,000 total streams across all platforms
• Up to 1 music video
• Independent releases only (no major label distribution)

2.3 Monetization

Monetization of released content is permitted within the listed limits.

2.4 Term Length

The MP3 Lease License is valid for 5 years or until the distribution limits are reached, whichever comes first.

3. WAV Lease License

3.1 Rights Granted

A non-exclusive license is granted to use a higher-quality WAV file for more professional releases and sound quality.

3.2 Distribution Limits

• Up to 100,000 streams across all platforms
• Up to 2 music videos
• Independent releases only (no major label distribution)

3.3 Monetization

Monetization is allowed on all platforms within the usage limits stated above.

3.4 Term Length

The WAV Lease License is valid for 5 years or until the distribution limits are reached, whichever comes first.

4. Trackout Lease License

4.1 Rights Granted

A non-exclusive license is granted, providing the Licensee with access to the full tracked-out stems (individual audio files) for professional mixing, arrangement, and customization.

4.2 Distribution Limits

• Up to 500,000 streams across all platforms
• Up to 3 music videos
• Independent and regional radio placements allowed
• Non-exclusive sync placements allowed

4.3 Monetization

Monetization is allowed across all major platforms within the stated distribution limits.

4.4 Term Length

The Trackout Lease License remains valid until the distribution limit of 500,000 streams or the video limit of 3 music videos is reached, whichever comes first. If these limits are exceeded, the Licensee must upgrade to Exclusive Rights or negotiate an extended agreement with the Producer.

5. Exclusive Rights License

5.1 Rights Granted

The Licensee receives exclusive usage rights to the beat. Once exclusive rights are purchased, the beat will be removed from public sale and will no longer be leased or sold to new customers. All prior non-exclusive leases granted before the exclusive purchase remain valid.

5.2 Unlimited Usage

The Licensee may:

• Distribute and monetize the song with unlimited streams
• Release unlimited music videos
• Use the song for major label releases
• Use the song in sync licensing opportunities (film, TV, games, ads, etc.)

5.3 Restrictions

The Licensee may not:

• Resell the beat as a standalone product or as a beat/instrumental to other artists
• Claim original production of the instrumental
• Remove the producer credit without written agreement from the Producer

5.4 Deliverables

Upon purchase of Exclusive Rights, the Licensee will receive:

• MP3 file of the beat
• WAV file of the beat
• Full trackout stems (WAV)
• Exclusive Rights to beat

5.5 Ownership

The Producer retains authorship and composition rights but grants the Licensee full exclusive usage rights to exploit the master recording. Any potential full buyout or complete transfer of ownership must be negotiated and agreed upon separately in writing.

5.6 Term Length

Exclusive Rights are granted in perpetuity, unless the Licensee violates the terms of this agreement.

6. Termination of License

A license may be revoked or terminated if:

• The Licensee violates any of the terms outlined in this agreement
• The distribution or usage limits are exceeded without proper upgrade or renegotiation
• Chargebacks, unauthorized transactions, or fraudulent purchases occur

Upon termination, the Licensee must immediately remove the song and any related content using the beat from all streaming platforms, digital stores, and distribution channels.

7. Refund Policy

All beat purchases are final due to the nature of digital goods. Once files have been delivered or downloaded, no refunds will be issued under any circumstance.
